Service Level Agreement

Preamble

These Terms of Service (“Terms”) govern the professional relationship between KALBHYX Private Limited (“DrTechzen” “we,” “us,” or “our”) and any individual or business (“you” or “Client”) who engages our services. These Terms apply to all websites and digital projects developed under the “Let’s Digitize Bhubaneswar” Scheme, along with any other service engagement with DrTechzen. By signing or clicking “I Agree,” you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Scheme Coverage: 

This Agreement covers all websites and digital deliverables developed under the “Let’s Digitize Bhubaneswar” Scheme, operated by DrTechzen. Any business or individual onboarded under this scheme is bound by these Terms in full, from project initiation to final delivery and beyond.

The specific scope of work, deliverables, and timeline will be detailed in a separate Project Proposal shared with you, which shall be considered part of these Terms.

2. Payments & Pricing

• All payments made to DrTechzen are strictly non-refundable, under any circumstances, including but not limited to project cancellation, dissatisfaction, or change of mind.
• Accepted payment methods include Bank Transfer, UPI, or any method communicated to you at the time of invoicing.
• Renewal Invoices after one year, if unpaid beyond 30 days of the due date may result in work suspension or a late payment fee.
• All prices are exclusive of applicable taxes unless stated otherwise.

3. Project Timeline & Delays

We commit to delivering work within the timeline communicated in the Project Proposal. However:

• Delays on your end — including late content submission, delayed feedback, or unresponsiveness — will result in a revised timeline for which we are not responsible.
• We reserve the right to adjust timelines in case of unforeseen circumstances, with prior notice to you.

4. Revisions & Changes

The following terms govern all revision and change requests made during the course of the project or post-delivery:

• Minor Content Updates (Pricing, Images, Text): The Client is entitled to request minor content updates no more than once (1) per calendar month which will be fulfilled within 10 days. Requests exceeding this limit will be scheduled for the following month or billed separately.
• Major Scope, Design, or Feature Changes: Any changes involving major redesigns or new features outside the original brief shall be treated as a new task and billed separately at DrTechzen’s prevailing rates.
• Official Communication Channels Only: All revision requests must be submitted in writing via support@drtechzen.com or +918280860037 (WhatsApp). Requests through any other channel will not be entertained or acknowledged.
• One-Time Change at Delivery: Changes to images, logos, contact numbers, or identity elements are permitted only once (1), strictly at the time of final project delivery. No such changes will be accommodated post-delivery free of charge.

5. Your Responsibilities

By engaging our services, you agree to:

• Provide all required materials — including content, images, credentials, and brand assets — in a timely manner.
• Ensure that any material you provide does not infringe on third-party intellectual property, copyrights, or trademarks.
• Respond to queries, proofs, and feedback requests within 24 business hours to avoid project delays.
• Ensure that the purpose of the project complies with all applicable laws and regulations.

6. Intellectual Property

• Upon receipt of full and final payment, ownership of the final deliverables is transferred to you.
• We retain ownership of all work until complete payment is received.
• We reserve the right to feature the completed project in our portfolio and marketing materials, unless you request confidentiality in writing before project commencement.
• Third-party assets such as stock images, fonts, plugins, or licensed software used in your project remain subject to their respective licenses. You are responsible for maintaining those licenses post-delivery unless otherwise agreed.

7. Developer Credit & White-Label Policy

All websites and digital deliverables developed by DrTechzen will carry a “Made with DrTechzen” developer credit mark by default. This attribution shall appear in the website footer or any other appropriate location as determined by DrTechzen. The Client acknowledges and accepts this as a standard condition of all projects.

• Mandatory Attribution: The “Made with DrTechzen” credit mark is strictly mandatory on all delivered projects and shall not be removed, hidden, altered, or overridden by the Client under any circumstances, unless a White-Label/NDA Package has been separately purchased and activated.
• Removal via NDA / White-Label Package: Clients who wish to remove the developer credit mark may do so exclusively by purchasing DrTechzen’s NDA / White-Label Package, which is available at an additional charge. • Unauthorized Removal: Any unauthorized removal or tampering of the developer credit mark without a valid NDA/White-Label Package shall constitute a breach of this Agreement and may result in immediate termination of all support, maintenance, and services, along with legal recourse at DrTechzen’s discretion.

  8. Confidentiality

Both parties agree to keep all project-related information, business data, strategies, and communications strictly confidential. Neither party shall disclose such information to any third party without prior written consent, except as required by law.

9. Limitation of Liability

To the fullest extent permitted by law, DrTechzen shall not be liable for:

• Any indirect, incidental, or consequential loss of business, revenue, data, or profits.
• Downtime, data loss, or security issues caused by third-party hosting providers, domain registrars, or platforms.
• Any modifications made to our deliverables by you or any third party after project handover.
• Our total liability in any matter shall not exceed the total amount paid by you for the specific project in question.

10. Governing Law & Disputes

These Terms are governed by the laws of the Republic of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through mutual negotiation. If unresolved within 30 days, the matter shall be subject to the exclusive jurisdiction of the courts in Bhubaneswar, Odisha, India.

11. Amendments

We reserve the right to update these Terms at any time. Any changes will be communicated to active clients via email. Continued engagement with our services after notification constitutes acceptance of the revised Terms.

12. Entire Agreement

These Terms, together with the Project Proposal shared with you, constitute the entire agreement between you and DrTechzen and supersede all prior verbal or written understandings.
